These Terms and Conditions ("Agreement") govern your use of Cypherdote Advanced Phishing Simulator ("CAPS"), a service provided by Cypherdote ("we", "our", "us"). By accessing, subscribing to, or using CAPS, you ("Client", "you", "your") agree to be legally bound by this Agreement. Please read this document thoroughly.

1. Definitions
Cypherdote: The provider and operator of CAPS.
Client: The individual or entity subscribing to and using the CAPS service.
Employees: Users within the Client’s organization who participate in phishing simulation exercises.
CAPS: Cypherdote Advanced Phishing Simulator, an ethical phishing training and assessment tool.

2. Service Provision and Subscription Plans
CAPS is available under three distinct subscription plans tailored to your organizational needs:
a. Standard Plan: Includes Default, Rollover, and Addon Redteam Credits.
b. Advanced Plan: Includes Default, Rollover, and Addon Redteam Credits.
c. Enterprise Plan: Includes Default, Rollover, and Addon Email Credits. Provides unlimited Redteam credits.

Credit Allocation and Expiration
Default Credits: Allocated monthly; unused credits expire at month-end.
Rollover Credits: Unused Default Credits from the immediate previous month carry forward to the following month, applicable only for recurring subscriptions. They expire at the end of the subsequent month.
Addon Credits: Purchased separately, do not expire, and are retained until consumed.

3. Billing, Payment, and Refund Terms
Billing Cycles
Clients may opt for monthly, quarterly, half-yearly, or yearly billing cycles. All subscription fees must be paid in advance at the start of the selected billing cycle.
Refunds
All payments, including subscription fees and addon credit purchases, are non-refundable. This includes partially utilized subscriptions, Default Credits, Rollover Credits, and Addon Credits.

4. Subscription Modifications and Plan Upgrades
Clients may downgrade their subscription plan at any time; however, all remaining Default and Rollover Credits will expire upon downgrade. Addon Credits will not be affected and will remain valid. When upgrading or renewing a subscription, the new plan is treated as a separate subscription, and Default and Rollover Credits will reset accordingly, while Addon Credits will continue to remain accessible.

5. Client Obligations and Responsibilities
Clients must comply with all applicable local, national, and international laws when using CAPS, particularly related to data protection, cybersecurity, and privacy. Clients must secure explicit informed consent from their Employees, particularly before conducting simulations involving intrusive data collection techniques such as video, audio, clipboard, and location tracking.
Clients agree to:
- Maintain ethical standards and respect user privacy.
- Use CAPS solely for legitimate security assessments and educational purposes.
- Assume full responsibility for ensuring compliance within their organization.

6. Acceptable Use Policy
CAPS must not be used maliciously, illegally, or in any way that breaches applicable laws or ethical standards. Prohibited activities include but are not limited to:
- Unauthorized access attempts.
- Distribution of malicious software or phishing campaigns without employee consent.
- Any actions violating individual privacy rights.

Violation of the Acceptable Use Policy will result in immediate suspension or termination of service without any obligation for refund.

7. Intellectual Property Rights
All intellectual property rights related to CAPS, including but not limited to software, code, content, trademarks, logos, documentation, and materials provided, are exclusively owned by Cypherdote. Clients do not obtain any ownership rights in CAPS by subscribing to or using the service.

8. Data Protection, Privacy, and Security
All Client and Employee data will be securely stored and processed exclusively within servers located in India. Cypherdote adheres to stringent security standards and practices to protect data integrity, confidentiality, and availability.

Clients retain full rights and control over their data, with the ability to export or delete their data independently at any time. Cypherdote explicitly states that it does not share Client or Employee data with any third parties under any circumstances unless legally mandated by competent authorities.

9. Limitation of Liability
Cypherdote shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use or inability to use CAPS. Cypherdote’s maximum liability, under any circumstance, is strictly limited to the total subscription fees paid by the Client within the twelve (12) months preceding the claim.

10. Termination of Services
Cypherdote reserves the right to suspend or terminate access to CAPS if the Client breaches any term outlined in this Agreement. Upon termination, all Default and Rollover Credits will be immediately forfeited; however, Addon Credits will remain available for use upon any subsequent reactivation or new subscription.

11. Amendments to These Terms
Cypherdote reserves the right to update or modify this Agreement at any time. Clients will be notified in advance of significant changes. Continued use of CAPS post-notification constitutes acceptance of the amended Terms and Conditions.

12. Governing Law and Jurisdiction
This Agreement is governed by the laws of India. Any dispute arising out of or relating to this Agreement will be subject exclusively to the jurisdiction of competent courts located within India.
